Welcome to BudHub, a technical platform operated by Roligt AB (org. nr. 556961-0198) that provides technology infrastructure for independent auction houses. BudHub is solely a technology platform provider and is not involved in any auction activities, transactions, or business relationships. All auctions, sales, and related activities are conducted entirely between buyers, sellers, and their chosen auction houses. These Terms of Service ("Terms") govern your use of our technology platform only.
1. Agreement Hierarchy and Precedence
Important Notice for Auction Houses: These Terms of Service represent the general terms applicable to all users of the BudHub platform. However, any separate written agreement executed between Roligt AB and an auction house shall supersede and take precedence over these Terms in all respects. In the event of any conflict or inconsistency between these Terms and a separately executed agreement with an auction house, the terms of the separately executed agreement shall govern. Individual auction house agreements may include, but are not limited to, licensing agreements, service level agreements, data processing agreements, and commercial terms.
2. Platform Overview
BudHub is exclusively a technology platform that provides software infrastructure for independent auction houses to conduct their own horse auctions. We do not organize auctions, invite participants, facilitate transactions, or participate in any business activities. All auction operations are conducted independently by auction houses using our technology. Our platform serves three distinct user groups:
Auction Houses
Independent Business Operators
Professional auction houses that use our technology platform to operate their own independent auction businesses. They are solely responsible for all aspects of their auctions including: customer management, auction organization, bidder and seller invitations, transaction facilitation, payment processing, and all business decisions. BudHub provides only the technical infrastructure.
Sellers/Consigners
Independent Horse Owners
Individuals or entities who independently contract with auction houses to sell their horses. All business relationships, agreements, and transactions are directly between sellers and their chosen auction house. BudHub has no involvement in these relationships or transactions.
Buyers/Bidders
Independent Auction Participants
Individuals who are invited by auction houses to participate in auctions. All bidding activities, purchase agreements, and transactions occur directly between bidders, sellers, and the auction house. BudHub provides only the technical bidding interface.
3. Account Registration and Eligibility
General Requirements
To use BudHub, you must:
- Be at least 18 years old or of legal age in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Maintain the security and confidentiality of your account credentials
- Be affiliated with or invited by a participating auction house
Multi-Tenant Access
BudHub operates on a multi-tenant architecture designed for complete data isolation and security. Each auction house independently operates its own private, branded environment with exclusive customer access and zero cross-contamination from competitors. Access to auction houses is entirely controlled by the individual auction house - you may only access auction houses where you have been specifically registered or invited by that auction house's administrators. BudHub does not control, manage, or influence these access decisions.
4. User Responsibilities by Role
Auction Houses
Your Independent Business Responsibilities
As independent business operators, you are solely responsible for all aspects of your auction business:
- Business Operations: All auction planning, organization, and execution
- Participant Management: Inviting, qualifying, and managing all bidders and consigners
- Customer Relationships: All business relationships, contracts, and communications
- Legal Compliance: Ensuring all activities comply with applicable laws and regulations
- Financial Management: All payment processing, settlements, and financial transactions
- Dispute Resolution: Resolving all disputes and issues between participants
- Data Protection: Managing customer data in accordance with privacy laws
- Risk Management: All liability and risk associated with auction operations
- Platform Licensing: Managing your licensing agreement and payments to BudHub for platform access
BudHub's only business involvement is providing licensed technical platform access to auction houses.
Sellers/Consigners
Your Responsibilities
- Accurate Information: Provide truthful, accurate, and complete information about horses
- Legal Ownership: Confirm you have legal right to sell or consign the horse
- Documentation: Provide all required certificates, medical records, and legal documents
- Condition Disclosure: Fully disclose any known health issues, injuries, or behavioral problems
- Media Rights: Ensure you have rights to all photos and videos uploaded
- Availability: Ensure horses remain available for inspection and delivery as required
Buyers/Bidders
Your Responsibilities
- Financial Capability: Bid only within your financial means and ability to pay
- Binding Bids: Understand that all bids constitute binding purchase commitments
- Due Diligence: Conduct proper inspection and research before bidding
- Payment Terms: Comply with auction house payment terms and deadlines
- Transportation: Arrange for proper transportation and care of purchased horses
- Good Faith Participation: Participate honestly without manipulation or collusion
5. Auction Terms and Bidding
Platform Technical Function
BudHub provides only the technical bidding interface. All auction terms, conditions, and rules are established independently by each auction house. When using our technical platform:
- Technical Function Only: BudHub provides the bidding interface - all legal and contractual obligations are between you and the auction house
- Auction House Control: All auction terms, reserve prices, and bid increments are determined independently by the auction house
- Direct Transactions: All purchase commitments and contracts are directly between bidders, sellers, and the auction house
- Platform Limitation: BudHub's role is limited to providing the technical interface for bid submission
Independent Auction House Authority
Each auction house operates independently and has complete authority over their auctions. Auction houses, not BudHub, have the exclusive right to:
- Establish all auction terms and conditions
- Invite, qualify, and reject bidders and sellers
- Set all bidding rules, increments, and procedures
- Cancel, postpone, or modify auctions
- Resolve all disputes and issues
- Manage all business relationships and contracts
BudHub has no authority over these decisions and provides only technical platform access.
6. Payment and Settlement
No Payment Processing by BudHub
BudHub does not process any payments, handle any financial transactions, or participate in any monetary activities. All financial aspects of auctions are managed entirely by individual auction houses:
- Independent Financial Management: Each auction house independently handles all payment processing, terms, and methods
- Direct Transactions: All payments flow directly between buyers, sellers, and auction houses
- Auction House Contracts: All financial terms, fees, commissions, and agreements are established by auction houses
- No BudHub Involvement: BudHub has no access to, control over, or responsibility for any financial transactions
7. Platform Use and Restrictions
Acceptable Use
When using BudHub, you agree not to:
- Provide false, misleading, or inaccurate information
- Attempt to manipulate bidding or auction outcomes
- Access data or accounts belonging to other organizations
- Use automated tools or bots for bidding
- Interfere with platform operations or security measures
- Violate any applicable laws or regulations
- Upload malicious content or attempt to compromise platform security
8. Data Protection and Privacy
Information Collection
We collect and process the following types of information:
- Account Information: Name, email, organization affiliation
- Auction Activity: Bidding history, auction participation
- Horse Information: Details, photos, and documentation (for sellers)
- Technical Data: IP addresses, browser information, usage patterns
Data Use
Your information is used to:
- Provide auction platform services
- Facilitate communication between auction participants
- Maintain platform security and prevent fraud
- Comply with legal and regulatory requirements
- Improve platform functionality and user experience
Data Sharing
We maintain strict data separation between auction houses. Your information is only shared:
- Within your specific auction house environment
- With auction participants as necessary for transactions
- When required by law or legal process
- With your explicit consent
Data Security
We implement enterprise-grade security measures including:
- Encrypted data transmission and storage
- Role-based access controls
- Regular security audits and monitoring
- Secure file management with time-limited access
8.1 GDPR – Roles and Responsibilities
Role Definition
- Auction Houses as Data Controllers: Each auction house using the BudHub platform acts as the Data Controller for all personal data they upload, manage, or otherwise process in connection with their auction operations.
- BudHub as Data Processor: Roligt AB, as the provider of the BudHub platform, acts solely as a Data Processor, processing personal data only on behalf of and in accordance with the documented instructions of the respective Auction House.
Purpose of Processing
We process personal data strictly for the purpose of providing the technical platform services as agreed with the Auction House, including account management, platform security, technical support, and hosting. We do not use personal data for our own purposes, marketing, profiling, or resale.
Data Processing Agreement
BudHub's relationship with each Auction House is governed by a Data Processing Agreement (DPA) in accordance with Article 28 of the GDPR. The DPA sets out the scope, nature, and purpose of processing, the type of personal data, the categories of data subjects, and the obligations and rights of both parties.
Sub-processors
BudHub may engage carefully selected sub-processors (e.g., hosting providers, email delivery services) solely for platform operation. A current list of sub-processors is available upon request. Auction Houses are informed of any intended changes to sub-processors in advance, with the right to object where legally required.
Security Measures
BudHub implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption in transit and at rest, access controls, regular security audits, and incident response protocols.
Data Subject Rights
As Data Controllers, Auction Houses are responsible for responding to data subject requests under GDPR (including rights of access, rectification, erasure, restriction, and portability). BudHub will assist Auction Houses in fulfilling these obligations where required.
International Transfers
Personal data is stored and processed within the EU/EEA unless otherwise agreed in writing and subject to appropriate safeguards (e.g., Standard Contractual Clauses).
Data Retention
Personal data is retained only as long as necessary to fulfil the agreed services or as required by law, after which it is securely deleted or anonymized.
9. Intellectual Property
Platform Rights
BudHub and all associated trademarks, software, and content are owned by Roligt AB (org. nr. 556961-0198). Users are granted a limited, non-transferable license to use the platform in accordance with these Terms for legitimate auction-related activities only.
User Content
When you upload content (photos, descriptions, documents), you:
- Retain ownership of your original content
- Grant us license to display and process content as necessary for platform operation
- Represent that you have rights to all uploaded content
- Are responsible for any copyright or intellectual property violations
10. Limitation of Liability
Technology Platform Only
BudHub is exclusively a technology platform provider and is not involved in any auction business activities. We provide only technical infrastructure and have no responsibility for:
- Business Activities: Any auction organization, management, or execution
- Participant Relationships: The conduct, agreements, or disputes between any parties
- Content Accuracy: Horse information, descriptions, or any user-provided content
- Financial Matters: Payments, disputes, fees, or any monetary transactions
- Legal Compliance: Regulatory compliance of auction houses or participants
- Physical Matters: Horse health, transportation, delivery, or condition
- Business Decisions: Any decisions made by auction houses or participants
Technical Limitations
While we maintain high platform availability, we cannot guarantee:
- Uninterrupted service or zero downtime
- Error-free operation of all features
- Compatibility with all devices or browsers
- Prevention of all unauthorized access attempts
11. Dispute Resolution
Independent Business Resolution
All disputes related to auctions, transactions, or business relationships must be resolved directly between the involved parties and their auction house. BudHub is not a party to any auction activities and cannot resolve business disputes. We may only assist with technical platform issues unrelated to auction business matters.
Governing Law
These Terms are governed by Swedish law. Any disputes will be resolved in Swedish courts, with jurisdiction in Stockholm.
12. Termination
Account Suspension
We may suspend or terminate accounts for:
- Violation of these Terms
- Fraudulent or abusive behavior
- Request from associated auction house
- Legal or regulatory requirements
Effect of Termination
Upon termination:
- Your access to the platform will be revoked
- Outstanding obligations remain in effect
- Data may be retained as required by law or policy
- Some provisions of these Terms survive termination
13. Updates and Modifications
We may update these Terms periodically. Significant changes will be communicated through:
- Email notification to registered users
- Platform announcements
- Updated "Last Modified" date on this document
Continued use of the platform after changes constitutes acceptance of updated Terms.
